Persistent Systems said its wholly-owned subsidiary Galaxy Germany Holding SE secured 83.25% of Nagarro's outstanding share capital and voting rights, excluding treasury shares, after its voluntary public takeover offer. Shareholders tendered 7,568,145 shares, representing about 61.15%, while Persistent had separately secured about 22.10% from Lantano Beteiligungen GmbH under a share purchase agreement. The result exceeded the offer's minimum acceptance threshold of 50% plus one share. Under the German Securities Acquisition and Takeover Act, shareholders who have not yet tendered can accept the offer at EUR 81.00 in cash per share during an additional acceptance period running from September 23 to midnight CEST on October 6, 2026. Persistent plans to pursue a delisting of Nagarro from the Frankfurt Stock Exchange's regulated market, or Prime Standard, and from the open market of other stock exchanges as soon as legally and practically feasible. The move would remove Nagarro from the SDAX and reduce the liquidity of its shares. Persistent expects the transaction to close by the end of Q1 CY27, subject to a limited number of regulatory approvals.
