Pomerantz LLP announced that a securities class action has been filed against PROCEPT BioRobotics Corporation and certain of its officers and/or directors. The action concerns whether Procept made materially misleading disclosures about handpiece sales, inventory levels, and its business outlook. Investors who purchased or otherwise acquired Procept securities during the class period have until September 22, 2026, to ask the court to appoint them as lead plaintiff. The allegations center on three earnings disclosures. On August 6, 2025, Procept reported sales of approximately 12,750 handpieces in the United States during the second fiscal quarter and forecast about 13,350 units for the following quarter, below consensus estimates of more than 13,840 units. The quarterly guidance implied that fourth-quarter sales would need to grow approximately 25% year over year to meet the company’s annual unit-sales target. Then-Chief Executive Officer Reza Zadno also said Procept was eliminating the Chief Commercial Officer role. Procept’s stock fell approximately 16% over two trading days. On November 4, 2025, Procept reported third-quarter handpiece sales of 13,225 units, below its prior guidance, and reduced annual guidance by 1,000 units to 52,000 from 53,000. Chief Executive Officer Larry L. Wood said the company had not been managing customer inventory by establishing par levels and that some customers were probably carrying too much inventory. The stock fell more than 10% over two trading days. On February 25, 2026, Procept disclosed that handpiece sales had exceeded procedures in every quarter since the first quarter of 2023, producing cumulative excess field inventory of more than 10,000 units. U.S. quarterly handpiece sales fell from 13,225 units in the third quarter to 9,400 units, a sequential decline of nearly 30%, and the stock fell more than 18% over two trading days.
