Paramount Skydance Corporation is preparing to launch a $49 billion debt sale to finance its $110 billion acquisition of Warner Bros. Discovery after settling litigation that had threatened to delay the transaction. Bank of America, Citigroup and Apollo Global Management are contacting potential buyers for a financing package comprising about $30 billion of investment-grade bonds, $7.5 billion of investment-grade loans and roughly $12 billion of second-lien bonds, with a formal sale expected within weeks. Paramount settled Monday with 12 state attorneys general and the Writers Guild of America, resolving litigation led by California Attorney General Rob Bonta. The agreement requires minimum theatrical-release volumes and at least $1.5 billion above Paramount's 2025 domestic film-production levels over five years. Paramount had targeted a third-quarter closing, but must pay Warner Bros. Discovery shareholders about $7 million daily from October 1 for each day the merger remains unclosed.
