Investors who purchased The Simply Good Foods Company common stock from October 24, 2024, through April 8, 2026, have until October 13, 2026, to seek appointment as lead plaintiff in a securities class action filed in the U.S. District Court for the Southern District of New York. Robbins Geller Rudman & Dowd LLP said the lawsuit, Monroe County Employees’ Retirement System v. The Simply Good Foods Company, No. 1:26-cv-06971, alleges that Simply Good Foods and certain current and former executive officers violated the Securities Exchange Act of 1934 by failing to disclose problems related to the acquisition and integration of Only What You Need, Inc., known as OWYN. The allegations include the loss of key managers, increased general and administrative expenses, product-quality problems linked to a pea-protein supplier, heavier discounting, reduced marketing support and failures to achieve the acquisition’s strategic and financial objectives. The company’s October 23, 2025, disclosures included slower OWYN sales growth, a product-quality explanation from defendant Geoff E. Tanner, and 2026 net sales guidance of negative 2% to positive 2%, compared with 9% growth in fiscal 2025; the stock fell more than 17%. On April 9, 2026, Simply Good Foods reported a nearly 17% year-over-year decline in quarterly OWYN sales, a $187 million impairment charge against OWYN brand intangible assets and revised 2026 net sales guidance of negative 7% to negative 10%; the stock fell more than 27% over two days. Investors may share in any potential recovery without serving as lead plaintiff.
