A securities fraud class action is pending against AEVEX Corp. on behalf of investors who bought or acquired its Class A common stock between April 17, 2026, and June 4, 2026, or pursuant to or traceable to documents issued for the company’s initial public offering. The case, Rosenberg v. AEVEX Corp., is pending in the U.S. District Court for the Southern District of California, with investors having until October 20, 2026, to seek lead plaintiff status. A new notice from Kahn Swick & Foti, LLC alleges that AEVEX, certain executives, Madison and underwriter defendants concealed a plan to override a 180-day lock-up and conduct a secondary public offering shortly after the IPO. Earlier case materials said AEVEX filed a registration statement on June 1, 2026, and sold eight million shares around June 3, with Madison receiving $207.9 million while AEVEX received no proceeds. AEVEX shares fell approximately 16% on June 2 and another 7% on June 5. The new notice alleges Madison would reap more than $200 million and underwriter defendants would share more than $8 million in fees from the planned transaction.
