Rexel completed an approximately €500 million capital increase on September 29, 2026, placing 14,388,490 new shares at €34.75 each through an accelerated bookbuilding process. The issue, conducted without shareholders’ preferential subscription rights, generated gross proceeds of approximately €500 million before commissions and expenses, with the price representing a discount of approximately 1.0% to the September 28 closing price before the offering was launched. Net proceeds will partially fund Rexel’s planned acquisition of GCG, alongside cash on hand and debt. The company said the equity financing would support preservation of its credit rating and a net financial debt-to-EBITDAaL ratio of approximately 2.0x from 2027. The shares were offered exclusively to qualified investors, carry current dividend rights and will trade on Euronext Paris under the existing ISIN code, FR0010451203. Settlement is expected on or around October 1, 2026. The acquisition remains subject to conditions precedent and may not be completed on the anticipated timetable or at all.
