Innventure and certain executives face a securities class action lawsuit after the company removed the DarkNX project from its 2026 forecast and suspended revenue guidance. The moves followed disclosures that the deployment site named in a DarkNX purchase order was no longer available, sending Innventure shares down 55% on Aug. 14, 2026. Between May 27 and Aug. 14, shares fell $4.795, or 74%. Hagens Berman is investigating whether Innventure misled investors about Accelsius’ arrangement with DarkNX, which was described as a global digital infrastructure company planning to deploy Accelsius’ NeuCool technology at a 300MW AI data-center campus in Ontario, Canada. The investigation follows a May 28 report by Morpheus Research questioning whether the project existed and whether DarkNX had the personnel or funding to pursue it. Investors in the class period from Nov. 17, 2025, through Aug. 13, 2026, have until Oct. 27, 2026, to seek lead-plaintiff status. Hagens Berman also says people with non-public information may consider the SEC (U.S. securities regulator) Whistleblower program, which can provide rewards of up to 30% of a successful SEC recovery.
