Anthropic, the developer of Claude, is planning one of the biggest IPOs in history as a public benefit corporation (PBC; a company balancing profit with public mission). Delaware created the structure in 2013, requiring directors and executives to weigh investor interests alongside the interests of materially affected stakeholders and the company’s stated public benefit. Anthropic’s amended certificate of incorporation, dated May 7, 2026, says its mission is to responsibly develop and maintain advanced AI for the long-term benefit of humanity. OpenAI Group PBC, the developer of ChatGPT, has adopted a similar structure, while stating that its board must focus solely on its mission during safety and security issues. PBCs remain a small part of the stock market, though their number has grown for 15 years. They must establish standards for their missions and report on progress at least every two years, but no independent audit is legally required. Shareholders meeting Delaware’s ownership threshold can sue over an alleged failure to pursue the public benefit, while limited court precedent leaves aspects of the structure uncertain.
