Simply Good Foods faces a securities class-action lawsuit over alleged failures to disclose problems affecting OWYN, the company’s consumer packaged foods and snacking business acquired for $280 million in 2024. The proposed class covers investors who purchased or otherwise acquired the company’s securities between October 24, 2024, and April 8, 2026. Robbins LLP said investors seeking appointment as lead plaintiff must act by October 13, 2026. The complaint alleges that Simply Good Foods lost key managers after the acquisition, increased general and administrative spending, encountered product-quality problems tied to a pea-protein supplier, used discounts and promotions that pressured margins, and later reduced OWYN marketing support. On April 9, 2026, the company reported that OWYN sales had fallen nearly 17% year over year, recorded a $187 million impairment charge against OWYN intangible assets, and cut its 2026 net sales outlook to a decline of 7% to 10%. On July 9, it disclosed an additional $13 million impairment, bringing cumulative OWYN impairments to $200 million, or 70% of the purchase price. Shares fell from $14.41 on April 8 to $10.44 on April 10, and declined more than 70% from Class Period highs above $40 to below $11 by the period’s end.
