Alpha Modus Holdings shares surged after the company closed a bitcoin-funded private investment in public equity (PIPE) transaction and regained compliance with Nasdaq listing requirements. Non-U.S. investors transferred 3,170 Bitcoin to AMOD Tech Pte. Ltd., a newly formed, wholly owned Singapore subsidiary, with the holding valued above $250 million using a reference price of about $83,612.20 per Bitcoin. Alpha Modus issued 51.62 million Class A shares and warrants for another 51.62 million shares at $4.36 each. A newer market update reported the stock up 213% at $3.66, compared with an earlier after-hours gain of 60.68% to $1.88. The transaction lifted stockholders' equity above $200 million, exceeding Nasdaq's $2.5 million minimum, after the exchange cited deficiencies involving minimum net income, market value of listed securities and stockholders' equity. Nasdaq will continue monitoring the company, which could face delisting if it fails to demonstrate compliance in its next periodic report, while the issuance dilutes existing shareholders.
