Hub Group’s founding family and related shareholders holding a majority of the company’s voting power overhauled its board, appointing Gregory D. Bunch, Thomas P. Fitzgerald, Thaddeus J. Malik and former Chief Financial Officer Thomas M. White. Three directors were removed without cause, while Mary H. Boosalis, Jenell Ross and Martin P. Slark resigned. The board remains chaired by David P. Yeager, who returned to oversee day-to-day operations last month, and plans to appoint a Lead Independent Director while maintaining majority independence. The changes follow an accounting error discovered in February, a review of results for 2023, 2024 and the first three quarters of 2025, and delayed filings for the fourth quarter and full year of 2025 and the first two quarters of 2026. Hub Group expects to complete its restatement during the fourth quarter of 2026. Nasdaq has granted a stay of delisting proceedings pending an Oct. 27 hearing, while shares rose 1.9% in early Friday trading, compared with a 1.1% gain for the S&P 500.
