A securities fraud class action has been filed against Compass, Inc. on behalf of former Anywhere Real Estate Inc. shareholders who exchanged their shares for Compass common stock in the January 2026 stock-for-stock merger. The complaint alleges Compass made material misstatements and omissions in registration materials, a prospectus and related oral communications about its antitrust compliance, political dealings and regulatory risks. The case, Magloire v. Compass, Inc., No. 1:26-cv-08885, is pending in the United States District Court for the Southern District of New York. The complaint alleges Compass hired Mike Davis, described as a lobbyist, lawyer and ally of President Donald Trump, to obtain access to senior Department of Justice officials and circumvent standard merger scrutiny. Compass announced the $4.2 billion all-stock acquisition of Anywhere on September 22, 2025, and said the combined company would bring approximately 340,000 real estate professionals onto a shared network. Compass shares fell nearly 13% to $9.08 on February 23, 2026, after reports about congressional questions concerning the DOJ review, declined nearly 4% after a report of an antitrust investigation by the New York Attorney General's Office, and had fallen more than 28% by October 7, 2026, when the lawsuit commenced. Investors have until December 8, 2026, to seek lead plaintiff status. Kessler Topaz Meltzer & Check, LLP is offering free case evaluations but did not file the complaint.
