3D Systems has entered into privately negotiated agreements with all holders of its outstanding 5.875% convertible senior secured notes due 2030 to exchange $92.03 million of principal for $85 million of newly issued 3.30% convertible senior notes due 2031, 13,471,138 common shares and $20 million in cash, plus accrued interest. The exchange is expected to close around Nov. 12, 2026, subject to closing conditions. The new notes will be senior unsecured obligations, mature April 1, 2031, and initially convert at about $3.43 per share, a roughly 30% premium to 3D Systems’ Nov. 4 closing price of $2.64. The company will receive no cash proceeds from the exchange; if completed as planned, the existing notes will be eliminated and their related guarantees and collateral liens released.
