
The all-stock deal would lift H100’s Bitcoin holdings to about 3,500 BTC and expand its share issuance capacity after shareholders backed the board’s plan at the annual meeting.
H100 Group shareholders approved the board’s plan to issue new shares to complete the acquisition of Norway’s Moonshot AS and Never Say Die AS, two Bitcoin-holding companies that would add about 2,450 BTC to H100’s balance sheet. The all-stock transaction would take H100’s Bitcoin reserve from 1,051 BTC to roughly 3,500 BTC, with no cash changing hands. Shareholders also approved changes to the company’s articles of association to raise the share capital ceiling and, conditionally, widen the share-count limits to between 1.1 billion and 4.4 billion shares once the consideration shares are issued. H100 said all agenda items passed at Monday’s annual general meeting, where CEO Johannes Wiik was re-elected alongside Chairman Sander Andersen and board members Joakim Dahl and Florence Aspinall. Based on the figures cited, H100 would rank behind Germany’s Bitcoin Group, which holds 3,605 BTC, among Europe’s listed Bitcoin treasury companies, while moving from 43rd to 26th globally on Bitcointreasuries.net’s rankings. The company’s average Bitcoin cost basis is $114,615 per coin; at a Bitcoin price near $62,400, its existing 1,051-BTC treasury is worth about $65.6 million against a total cost basis of roughly $120.5 million. H100 shares closed at 1.162 Swedish crowns on Monday, valuing the company at about 399 million Swedish crowns ($38 million), after falling more than 91% over the past year and about 38% year to date, according to TradingView data.
