Aker has sold Cognite to Schneider Electric for $3.1 billion in what Aker described as Norway’s biggest software and AI exit to date, while continuing its broader shift toward AI infrastructure. Aker ASA and the other Cognite Holding B.V. shareholders agreed to sell all their shares to Schneider Electric, a transaction Aker said is among Europe’s largest industrial software deals. Aker expects about $1.48 billion in cash from the sale, including settlement of an outstanding convertible loan, equivalent to roughly NOK 14.7 billion at a USD/NOK exchange rate of 9.92. The payout implies an increase of NOK 7.4 billion and about NOK 100 per share versus Aker’s reported net asset value at the end of the first quarter of 2026. The deal also shows why industrial AI assets are attracting large buyers: Cognite’s software specializes in contextualizing operational data for asset-heavy sectors such as energy, manufacturing and infrastructure, complementing Schneider’s existing electrical distribution, automation and energy-management businesses. The transaction remains subject to customary closing conditions and regulatory approvals, and investors are likely to watch for updated NAV guidance from Aker after completion and deployment of the proceeds.
