The OCI takeover bidder said the July 2 purchases lifted its holding to 105,952,630 shares, or about 50.13% of issued share capital, while staying below the EUR 4.10 offer price.
NNS Holding (Cyprus) Limited said it bought 487,359 OCI Global N.V. shares on July 2, 2026 at an average price of EUR 4.0441, with the highest price paid at EUR 4.05 per share. The purchases represented about 0.23% of OCI's issued share capital and, after settlement, will increase NNS's holding to 105,952,630 shares, or about 50.13% of the company. The disclosure was made under Section 5, paragraph 4 of the Netherlands Decree on Public Takeover Bids in connection with NNS's voluntary public offer for all issued and outstanding OCI ordinary shares. NNS said it is willing to provide liquidity for shareholders seeking to sell, without disrupting trading and without exceeding the EUR 4.10 offer price. It also said that, where permitted by law, it and its affiliates may continue to buy OCI shares outside the offer and may engage in ordinary course trading activities in OCI securities.
