Figure Technology Solutions, Inc. priced a private offering of $600 million in 8.500% senior notes due 2031, with the notes sold at 100% of principal and the deal expected to close on July 14, 2026. The company said the issuance should generate about $587.5 million in net proceeds after purchasers’ discounts, commissions and estimated expenses. Figure plans to use the proceeds to fund cash consideration tied to its acquisition of Kiavi, an AI-powered lending platform for residential real estate investors, as well as for general corporate purposes and offering-related fees. The company said the notes sale is not contingent on the Kiavi transaction closing, and if that acquisition does not proceed, the proceeds will instead go to general corporate purposes. The notes will be guaranteed by certain domestic wholly-owned subsidiaries and were offered only through exemptions from Securities Act registration, including Rule 144A (resale exemption for large institutional buyers) and Regulation S (offshore securities offering safe harbor).
