The Ripple-backed company opened a Japan-focused outreach channel while updating its SEC merger filing for a planned Nasdaq listing under XRPN, with the deal still subject to regulatory and shareholder approval.
Evernorth has launched a Japanese-language account focused on XRP updates and market education as it expands communication around its XRP strategy, but it has not announced a new office, license, product, investment or local operating business in Japan. At the same time, the company filed a fourth amended Form S-4 with the U.S. Securities and Exchange Commission for its planned merger with Armada Acquisition Corp. II, disclosing executive compensation including an initial equity award worth about $44 million for CEO Asheesh Birla and about $5.6 million for CFO Matt Frymier. Evernorth says the combined company would trade on Nasdaq under the ticker XRPN and operate the largest publicly listed XRP treasury company, supported by more than $1 billion in gross proceeds or committed capital from investors including SBI Holdings, Ripple, Arrington Capital, Pantera Capital and Kraken, though the transaction still requires SEC effectiveness, shareholder approval and other closing conditions.
