The package includes 109,361 restricted stock units, or RSUs (stock awards that vest over time), to be paid in common stock, and options to buy up to 166,018 shares of common stock at an exercise price of $11.43 a share. Both awards were issued outside a shareholder-approved equity plan and were previously described in a Current Report on Form 8-K filed with the Securities and Exchange Commission (U.S. markets regulator) on June 30, 2026. The grants vest in stages of 25%, 25% and 50% on the first, second and third anniversaries of Cole’s July 13, 2026 start date, subject to vesting conditions.
