Perpetuals.com has terminated its letter of intent to acquire Alt5 Sigma Canada, a unit of AI Financial Corporation, formally ending the proposed transaction that had been valued at up to $15 million. The earlier structure had contemplated $5 million in Perpetuals.com stock and as much as $10 million linked to revenue targets, but the companies have now scrapped the planned acquisition. Alt5 Sigma provides crypto trading, payments, and remittance infrastructure for businesses. No specific reason for terminating the agreement was disclosed. The decision also leaves in doubt the broader commercial plans previously under discussion, including Perpetuals.com distributing AI Financial’s stablecoin USD1 in Europe and licensing its trading engine. The collapse remains notable because AI Financial acquired the payments arm in 2025 in a $750 million transaction involving approximately $1.5 billion in WLFI tokens with World Liberty Financial, the DeFi protocol associated with the Trump family. World Liberty Financial was co-founded in 2024 by Eric Trump, Donald Trump Jr., and Zach Witkoff. For Perpetuals.com, which is licensed for EU crypto products and focuses on institutional-grade derivatives infrastructure, the deal would have added payment rails and potentially expanded its European footprint as MiCA reshapes competition among stablecoins including Circle’s USDC and Tether’s USDT.
