The investor-rights law firm said it is reviewing proposed transactions involving NextEra, Dominion, Corebridge, Equitable, RE/MAX, Patrick, Axalta, Apogee, AbbVie, Akzo Nobel, The Real Brokerage and LCI for possible securities-law or fiduciary-duty violations.
Halper Sadeh LLC said it is investigating several proposed corporate transactions for potential violations of federal securities laws and possible breaches of fiduciary duties to shareholders. The matters disclosed across the firm’s July 14 and July 15, 2026 releases include NextEra Energy’s merger with Dominion Energy, Patrick Industries’ merger with LCI Industries, and the Corebridge Financial-Equitable Holdings merger, in which Corebridge shareholders would receive 1.0000 shares of the combined company and own about 51%, while Equitable shareholders would receive 1.55516 shares and own about 49%. The firm is also reviewing RE/MAX Holdings’ sale to The Real Brokerage for either 5.152 shares of the combined company or $13.80 in cash per share, Axalta Coating Systems’ sale to Akzo Nobel N.V. for 0.6539 AkzoNobel shares per Axalta share, and Apogee Therapeutics’ sale to AbbVie for $135.11 per share in cash. Halper Sadeh said insiders may receive financial benefits unavailable to ordinary shareholders and that deal terms may restrict superior competing offers; it said it may seek increased consideration, additional disclosures, or other relief.
