PicS investors face August 4, 2026 lead plaintiff deadline in IPO lawsuit

A securities fraud class action tied to PicS N.V.'s January 30, 2026 IPO alleges undisclosed weaknesses in credit procedures, risk controls and loan quality as another law firm solicits investors.

Summary

PicS N.V. is facing a securities fraud class action on behalf of investors who purchased Class A common stock in and/or traceable to its January 30, 2026 IPO, with August 4, 2026 set as the deadline to seek lead plaintiff status. Kaplan Fox & Kilsheimer LLP said the case targets alleged misstatements and omissions in the offering documents tied to PicS's credit assessment procedures, credit models, user data and underwriting and risk-monitoring capabilities, including an internal December 2025 review that allegedly found deficiencies requiring enhancement. The complaint alleges PicS reclassified about R$590 million of exposures from Stage 2 to Stage 3 after implementing stricter policies, resulting in an incremental Expected Credit Loss charge of R$88 million for the quarter ended Dec. 31, 2025, and that it experienced an undisclosed Stage 3 formation rate above 7% in the fourth quarter of 2025. It further claims PicS's move into riskier business lines before the IPO led to deteriorating credit quality, increased default and impairment risk, and adverse financial and operational trends expected to keep worsening. PicS sold about 22.9 million Class A shares at $19 each in the IPO, and after releasing fourth-quarter and full-year 2025 results on March 19, 2026, the stock fell $3.56, or 22.5%, to close at $12.27. The press release says the shares later fell below $9 by June 4, 2026, more than 50% below the IPO price.
