The healthcare technology company said a lack of funds delayed payments to auditors and accounting staff, and it expects to file its annual statements and related documents on or about Sept. 29, 2026.
ARCpoint Inc. said it will likely miss its July 29, 2026 deadline to file annual financial statements, management’s discussion and analysis, and related CEO and CFO certificates for the year ended March 31, 2026. The company has applied for a Management Cease Trade Order, or MCTO (order restricting insider trading during a filing default), under National Policy 12-203 and is awaiting a decision from the British Columbia Securities Commission, or BCSC (British Columbia securities regulator). The company said a lack of available funds delayed its ability to pay auditors and accounting personnel, leaving the audit unfinished and preventing the annual filings from being completed on time. ARCpoint expects to file the documents on or about Sept. 29, 2026, and said it will issue a news release once they are filed. If the MCTO is granted, public trading in ARCpoint’s Class A Subordinate Voting Shares on the TSX Venture Exchange would continue, but the Chief Executive Officer, Chief Financial Officer and other designated insiders would be barred from trading the shares. The company also said it would follow NP 12-203’s alternative information guidelines, including bi-weekly default status reports, until the filings are made. ARCpoint added that it is not subject to insolvency proceedings and said any information provided to creditors during the default period would also be filed on SEDAR+ through material change reports.
