Hagens Berman investigates Hub Group securities class action over accounting disclosures

The law firm says investors who bought Hub Group stock between April 28, 2023 and May 11, 2026 have until Aug. 28, 2026 to seek lead plaintiff status.

Hagens Berman said it is investigating claims in a securities class action against Hub Group, Inc. alleging that the company and senior executives misled investors about the integrity of its financial reporting, revenue recognition practices and internal controls. The complaint alleges Hub Group understated purchased transportation costs and accounts payable, contributing to a $77 million accounting error in 2025, improperly recognized revenue, and maintained ineffective disclosure controls and internal control over financial reporting despite repeated public assurances. The suit says corrective disclosures in February 2026 and May 2026 revealed that financial statements for the first three quarters of 2025, as well as the company’s 2023 and 2024 annual reports, were materially misstated or unreliable. Hagens Berman said the February disclosure was followed by an 18% share-price decline and the May disclosure by a further 13% drop, erasing more than $890 million in market capitalization and preceding the departures of Hub Group’s Chief Financial Officer and Chief Operating Officer in May 2026. Investors who purchased or acquired Hub Group common stock between April 28, 2023, and May 11, 2026 may be eligible to serve as lead plaintiff, with an Aug. 28, 2026 court deadline. Reed Kathrein, the Hagens Berman partner leading the investigation, said the firm is examining whether the accounting improprieties were intentional or reckless and whether additional issues could emerge when the company’s review is completed.
