Five Star Bancorp priced its previously announced underwritten public offering at 2,725,000 common shares for $44.00 each, with expected proceeds to the company of about $113.6 million after underwriting discounts and commissions but before offering expenses. The company also granted underwriters a 30-day option to buy up to 408,750 additional shares at the public offering price, less underwriting discounts and commissions. Five Star said it expects the deal to close on or about July 24, 2026, subject to customary conditions. Proceeds are intended for general corporate purposes, support for continued growth through investments in Five Star Bank, and working capital. Keefe, Bruyette & Woods, A Stifel Company is acting as bookrunner, with Stephens Inc., D.A. Davidson & Co., Raymond James & Associates, Inc., and Brean Capital as co-managers. The sale is being made under an effective Form S-3 registration statement with the SEC, file No. 333-263089, and Five Star said a final prospectus supplement and accompanying prospectus will be filed. The Rancho Cordova, California-based company operates through Five Star Bank, which has 10 California branches after opening a Lodi branch in July 2026.
