Radiopharm Theranostics Limited said it entered a Securities Purchase Agreement with certain U.S. accredited institutional investors for a registered direct offering of 1,281,646 American Depositary Shares, representing 384,493,800 ordinary shares, priced at US$3.16 per ADS for gross proceeds of about US$4.1 million before fees and expenses. In a concurrent private placement, the company agreed to issue unregistered warrants to buy up to 1,281,646 ADSs at an exercise price of US$3.79 per ADS, exercisable after shareholder approval and expiring on July 31, 2029. The offering is expected to close on or about July 28, 2026, New York Time, subject to customary conditions, with H.C. Wainwright & Co. acting as exclusive U.S. placement agent. Separately, Radiopharm said it received firm commitments from Australian institutional and professional investors for approximately A$6.7 million, with 40.0 million ordinary shares tied to A$0.6 million of that amount subject to shareholder approval, and it plans a Share Purchase Plan for shareholders in Australia and New Zealand to raise up to A$6 million. The company said proceeds are intended to support the commencement of the RAD101 registrational study, advance multiple therapeutic programs through key clinical milestones, continue strategic partnering initiatives, and fund working capital and other general corporate purposes.
