
Paramount pushed certain Discovery and Warner Bros. Discovery-linked tender and exchange offers to August 7, 2026 while agreeing to pause its proposed WBD acquisition pending an antitrust ruling or until June 2027 at the latest.
Paramount Skydance said it extended cash tender and exchange offers for certain Discovery Global Holdings and Discovery Communications notes to 5:00 p.m. New York City time on August 7, 2026, while also indicating it expects to keep extending the offers so settlement can occur on or shortly after closing of its proposed Warner Bros. Discovery acquisition. The merger itself has now been delayed until a judge rules or until June 2027 at the latest under an agreement reached as 12 U.S. state attorneys general pursue an antitrust lawsuit to block the transaction. As of July 23, 2026, about 66.17% of tender-offer notes and 76.38% of exchange-offer notes had been validly tendered, though Paramount said those figures should not be viewed as final. Paramount’s latest filing described the deal as a $111 billion transaction, compared with earlier reports citing about $81 billion or roughly $110 billion.
