The companies outlined a proposed $20 million investment, exclusive North America commercialization rights and a 60/40 revenue split, though no binding commitments or current-year revenue are in place.
Digital Currency X Technology Inc. and Whales AI Limited signed a non-binding memorandum of understanding to pursue commercialization of Whales AI’s AI and STEM education robotics platform in the United States and Canada. Under the preliminary terms, DCX intends to invest $20 million to support development of the platform, including large language model training, optimization and localization for the education market in the territory. In return, Whales AI intends to grant DCX exclusive rights to market, sell and commercially operate the platform there. The companies said DCX would lead sales, marketing and business development, while Whales AI would remain responsible for platform development, large-model training and technical maintenance. They intend to split platform revenue 60% to DCX and 40% to Whales AI. The MOU is non-binding, subject to due diligence, final terms and internal approvals including board approval, and there is no assurance definitive agreements will be signed. No amounts have been committed under the MOU, and DCX said it does not expect revenue from the activity in the current financial year.
