INOVIO prices $20 million underwritten public offering with stock and warrants

INOVIO Pharmaceuticals priced an underwritten public offering of 21,052,632 common shares and accompanying warrants to buy up to 42,105,264 common shares, or pre-funded warrants in lieu thereof, for expected gross proceeds of about $20.0 million before fees and expenses. The securities were priced at a combined public offering price of $0.95 per common share and accompanying warrant to purchase two shares, while the accompanying warrants carry an exercise price of $1.10 per share. INOVIO also granted the underwriter a 30-day option to purchase up to 3,157,894 additional common shares and/or warrants to buy up to 6,315,788 additional shares at the public offering price, less underwriting discounts and commissions. The offering is being made under a shelf registration statement filed with the U.S. Securities and Exchange Commission on July 2, 2026 and declared effective on July 10, 2026.
