About 37 million bankruptcy recovery shares tied to Celsius creditors face lock-up and transfer constraints, underscoring that a public listing does not translate into immediate liquidity for every holder.
Ionic Digital began trading on Nasdaq under the ticker IOND on July 28, creating a public market for existing Class A shares, including stock issued through the Celsius bankruptcy plan. The direct listing did not raise capital for the company and instead opened price discovery and a potential exit path for creditor-linked equity. That path remains uneven. About 37 million shares tied to former approved creditors of Celsius Network and certain subsidiaries and affiliates were issued when Ionic acquired Celsius Mining assets on Jan. 31, 2024, and a large portion of those recovery shares remains subject to lock-up and other holder-specific restrictions that prevent immediate sale. The effect is that the Nasdaq price reflects a smaller pool of freely tradable shares than the headline listing may suggest. Ionic said it had about 82,000 stockholders of record before the listing, excluding beneficial owners in nominee accounts, though the filing did not specify how many were Celsius creditor recipients. The prospectus also separately registered 10,800,164 resale shares tied to Ionic’s June 2026 private placement, distinct from the 37 million bankruptcy-plan shares. Those private-placement investors generally could not transfer their securities below $70 per share until six months after the listing. Settlement mechanics add another layer of friction. Shareholders whose stock remained with Odyssey Transfer and Trust Company needed a broker participating in the Depository Trust Company and supporting the Direct Registration System to move shares into a brokerage account, a process Ionic said usually took one to two business days. IOND ended its first session at $62.90 on about 1.58 million shares of volume, according to Investing.com, but that market value was not necessarily accessible to holders whose shares were locked or still in transfer.
