The Cyprus-based holding company said the July 31 purchase represented about 1.42% of OCI’s issued share capital and comes amid its standing offer for the shares.
NNS Holding (Cyprus) Limited said it bought 3,000,000 OCI shares on July 31, 2026 at an average purchase price of EUR 4.075, with the highest price paid also EUR 4.075 per share. The acquisition represents approximately 1.42% of OCI’s issued share capital. After settlement, NNS said it will hold 120,288,019 shares, equal to about 56.91% of OCI, and together with Mr. Nassef Sawiris, who is also considered a bidder under the Dutch bidding rules, will hold 120,677,749 shares, or about 57.10%. The disclosure was made under Section 5, paragraph 4 of the Decree and refers back to NNS’s June 24, 2026 announcement of the Offer. NNS also said it and its affiliates may continue to buy OCI shares outside the Offer where permitted by law, with any public disclosures in the Netherlands to be made by press release.
