Recursion said its Compensation Committee granted inducement awards on July 27, 2026, consisting of restricted stock units covering 3,234,866 shares of Class A common stock to 24 new employees. The awards were made under Recursion's 2024 Inducement Equity Incentive Plan and were approved as an employment inducement in line with Nasdaq Listing Rule 5635(c)(4). Each award vests over four years, with one-quarter of the shares vesting on the first quarterly vesting date on or following the one-year anniversary of the vesting commencement date and one-sixteenth vesting on each quarterly vesting date thereafter, subject to continued employment and the terms of the plan and grant agreements.
