Summary

GameStop agreed to privately exchange roughly $1.4 billion of zero-coupon convertible senior notes for newly issued Class A common stock, a transaction that would retire about one-third of the principal across its 2030 and 2032 note series if it closes. The company’s Aug. 3, 2026 filing covers about $400 million of notes due in 2030 and $1.0 billion due in 2032, leaving about $1.1 billion and $1.7 billion outstanding, respectively. Because both series carry a 0% interest rate, the swap would not lower current cash interest expense; instead, it replaces future repayment obligations with equity. The final dilution remains uncertain. A 35-consecutive-trading-day volume-weighted average price period began Aug. 3 and will help determine how many shares noteholders receive shortly before closing, while a minimum per-share price also applies but was not disclosed. GameStop said it expects the exchange to close around Sept. 23, 2026, subject to customary conditions, and either side can terminate after Sept. 30 if the deal has not closed. The company also warned that noteholders may trade shares or adjust related derivative positions before closing, potentially increasing volatility in its stock or notes. The filing also sharpened focus on GameStop’s Bitcoin treasury exposure. As of May 2, 2026, 4,709 of its 4,710 BTC had been pledged to Coinbase Credit under a covered-call strategy, leaving the company directly holding just one Bitcoin. Because Coinbase Credit could reuse, commingle, pledge, or sell that collateral, GameStop removed the pledged Bitcoin from its books and recorded a current digital-asset receivable for equivalent Bitcoin owed back. The disclosed call options covered about 4,709 Bitcoin at an $80,000 strike price and expired May 29, 2026; GameStop later entered new contracts but has not disclosed the quantity, strike, maturity, or collateral balance. Investors are now watching for two key updates: the final share count from the note exchange and how much Bitcoin is currently pledged under the renewed options structure.
