Kaplan Fox announces class action against EquipmentShare over IPO stock claims

The lawsuit targets investors who bought shares in EquipmentShare's January 23, 2026 IPO or through June 23, 2026, after a report alleged undisclosed related-party transactions tied to founders.

Summary

Kaplan Fox & Kilsheimer LLP says a class action lawsuit has been filed against EquipmentShare.Com Inc. on behalf of investors who purchased or otherwise acquired EquipmentShare common stock pursuant and/or traceable to the company's initial public offering on or around January 23, 2026, or between January 23, 2026 and June 23, 2026. The complaint says EquipmentShare sold 30.5 million shares of Class A common stock at $24.50 per share in the IPO. It also alleges that on June 24, 2026, Umibōzu Research published a report claiming undisclosed related-party transactions had netted entities affiliated with EquipmentShare founders at least $77 million, with the true figure potentially substantially higher. The complaint says the stock fell $1.58, or 6.62%, to $22.30 on June 24, 2026, and then dropped another $2.61, or 11.7%, to $19.69 on June 25, 2026. Kaplan Fox says members of the proposed class may move the court no later than September 21, 2026 to serve as lead plaintiff, but need not do so to share in any possible recovery.
