The Swiss fintech says the product digitizes blocked capital contribution accounts for eligible GmbH and AG formations, aiming to cut paperwork and speed documentation for notary submission.
Bivial AG has launched Share Capital Accounts, a digital-first product for company formation in Switzerland that is designed to streamline the required paid-in capital deposit process before a business can be entered in the Commercial Register. The product targets a long-standing incorporation step in which founders must place share capital into a blocked capital contribution account and present deposit confirmation as part of the paperwork needed for registration. The Zug-based fintech says founders and their advisers can complete onboarding, funding and documentation online, track individual shareholder contributions through a single interface, and obtain a digital capital contribution confirmation once the full amount has been received and verified for submission to the notary. CEO Martynas Bieliauskas said the goal is to let entrepreneurs spend less time coordinating paperwork across multiple parties and move from incorporation to operation more efficiently. Bivial said its distribution strategy centers on embedding the account-opening process into the digital workflows of company-formation platforms, fiduciaries, corporate service providers and other professional advisers. The Share Capital Accounts are available for eligible Swiss GmbH and AG incorporations, with account opening and processing subject to due-diligence checks and complete documentation. Bivial AG is a deposit-taking financial institution regulated by FINMA (Swiss financial regulator) under Article 1b of the Swiss Federal Banking Act.
