Check-Cap Ltd. said it expects its proposed business combination with MBody AI Corp. to close in the third quarter of 2026, potentially within the next eight weeks, subject to the Form F-1 becoming effective, final Nasdaq approval of the initial listing application, satisfaction of all initial listing requirements, and other customary closing conditions. The company said it publicly filed the registration statement with the SEC on July 24, 2026, responded to SEC staff comments, obtained shareholder approval from both companies, and advanced the Nasdaq review process. Separately, Check-Cap said merger partner MBody AI has expanded from indoor automation into outdoor services by securing exclusive U.S. distribution rights for outdoor cleaning robots serving gaming venues and large hotels and resorts across Nevada, Arizona, New Jersey, Pennsylvania, California, and Connecticut. MBody AI said it has already piloted the solution with a major U.S. gaming and hospitality operator and is offering the system to additional customers, with future outdoor use cases potentially including mowing, parking lot cleaning and line striping, security monitoring, garbage collection, pool and deck cleaning, and exterior window cleaning. Upon completion, the combined company is expected to continue trading on Nasdaq under the ticker symbol MBAI.
